These Terms & Conditions ("Terms") govern your use of the websites, mobile applications and services (collectively, the "Services") provided by Dory (as defined below).
OWNERSHIP/ AGREEMENT TO TERMS
The Services are owned and operated by Dory Network Technology Limited and/or its affiliates (references to "Dory", "we", "us", "our" are references to Dory Network Technology Limited and/or its affiliates). Our Services are protected by copyright and other intellectual property laws and treaties and are owned by us or our service providers. You agree that you will not copy, attempt to reverse engineer, modify, translate or disassemble our Services in whole or in part. We may automatically check and update the version of our Services which you are using in order to improve the performance and capabilities of our Services.
By accessing or using our website, mobile applications and services (collectively, our "Services"), you agree to be bound by our Terms set forth herein. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
By using our Services, you are also consenting to the terms of our privacy policy located at me2you.com/en/privacy ("Privacy Policy"), which sets out how Dory collects, uses and discloses information collected and received from you.
You are responsible for observing the terms of any transactions that you take part in through our Services. Dory is not directly involved in transactions between users and cannot provide any assurance that with respect to commitments, representations, or warranties made by users of our Services. We do not confirm a user’s purported identity or control the content posted by users to our Services, and make no representations or warranties regarding the items or services offered by any user. It is your responsibility to evaluate the accuracy, completeness, truthfulness and other characteristics of items or services offered by users through our Services. We reserve the right to establish limits concerning the use of our Services, modify the nature of our Services, and to discontinue our Services entirely at any time, without any further notice to you.
Dory reserves the right, at its sole discretion, to change, modify, add or remove portions of the Terms, at any time. It is your responsibility to check the Terms periodically for changes. Your continued use of our Services following the posting of changes will mean that you accept and agree to the changes.
DORY CONTENT
All text, data, graphics, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, expression, arrangement of such Content, contained on the Services, are the sole property of Dory and/or its licensors. All Content is protected by copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.
Use of the Content for any purpose not expressly permitted in the Terms or otherwise consented to by Dory is prohibited. You may download or print one copy of the Content to any single device for your personal, non-commercial, informational use only, provided that you keep intact all copyright and other proprietary notices. Except as expressly provided in the Terms, no part of the Services and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, Web site or other medium for publication or distribution or for any commercial enterprise, without Dory’s express prior written consent.
ACCOUNT REGISTRATION
In order to use our Services, you must register for and maintain an active personal user Services account (“Account”). When you create an Account, you represent and warrant that:
if you are an individual, you are at least 18 years of age;
If you are under 18 years of age, you may only use the Services with the consent of and under the supervision of your parent or legal guardian who shall be responsible for all your activities.
if you are representing a company, organization or any other legal entity (“Entity”), you have authority to bind the Entity to these Terms;
You are capable of entering into and performing legally binding contracts under applicable law;
All information which you provide is accurate, up to date, truthful and complete, and you agree to update that information as soon as possible after any information on such registration changes;
You are entirely responsible for maintaining the confidentiality of your Account login information and associated passwords, and for any and all of your Account activity and transactions. Dory will not be responsible in any way if your password and/or Account are misappropriated or used by a third party. You agree to notify Dory immediately of any unauthorized use of your account or password, or any other breach of security.
Unless otherwise permitted by Dory in writing, you may only possess one Account.
Dory cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.
YOUR USE OF THE SERVICES
You are solely responsible for compliance with any and all laws, rules and regulations that may apply to your use of the Services.
Subject to your compliance with these Terms, Dory grants you a personal, non-exclusive, non-transferable, limited privilege to use our Services.
You shall use the Services in accordance with the Terms and shall not:
use any robot, spider, scraper or other automated means to access our Services and collect content for any purpose without our express written permission. Dory reserves the right to bar any such activity;
attempt to gain unauthorized access to our Services, other computer systems or networks connected to our Services, through password mining or any other illegitimate means;
scan or test the vulnerability of the Services or any network connected to the Services, or breach the security or authentication measures on the Services or any network connected to the Services.
take any action that imposes or may impose (as determined by us in our sole discretion) an unreasonable or disproportionately large load on our (or our third party providers’) infrastructure;
interfere with or disrupt networks or servers connected to our Services;
send, post, or otherwise communicate any Content which is offensive, indecent, threatening, abusive, insulting, harassing, defamatory, libellous, deceptive, fraudulent, tortious, obscene, profane, invasive of another person’s privacy, or racially, ethnically or otherwise objectionable.
• send, post, or otherwise communicate any material that: constitutes automated, unsolicited or unauthorised messages, advertising or promotional material or any junk mail, spam or chain letters, or any other form of solicitation; infringes any patent, trade-mark, trade secret, copyright, publicity, or other proprietary or privacy rights of any party; is misleading, contains unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, racially, ethnically or otherwise objectionable; or contains any form of destructive software such as a virus, worm, or any other harmful components or any other computer file, program or code, designed to interrupt, destroy or limit the functionality of any computer or mobile device software, hardware or telecommunications equipment;
register under a false identity, pretend that you are, or that you represent, someone else, or impersonate any other individual or entity;
for the purpose of misleading others, create a false identity of the sender or the origin of a message, forge headers or otherwise manipulate identifiers in order to disguise the origin of any material transmitted through our Services;
send e-mails or messages using our Services without the consent of the recipient;
Collect or store any information of other users of our Services without their consent;
use, download or otherwise copy, or provide to any person or entity our Services users’ directory or other user or usage information or any portion thereof, other than in the context of your use of our Services;
register for more than one account or use any other measures in an attempt to take advantage of the Services;
facilitate or encourage any of the above conduct.
Further, use of the Services to offer or procure illegal, unsafe, or other restricted goods is strictly prohibited. Listing and trading of food, medicine, alcohol, tobacco, pornography and items prohibited by the local law are not allowed. Dory reserves the right, in its sole discretion, to refuse to provide the Services in respect of any product that is restricted under applicable laws or that possession of which may reasonably pose a hazard to human health or safety.
Dory reserves the right to terminate or suspend your account, if you are subsequently found or suspected to be engaged in any activity or act that is in breach of these Terms, any applicable laws, rules or regulations in connection with your access or use of the Services.
USER CONTENT
Subject to our Privacy Policy, all User Content that you post will be treated as non-confidential and non-proprietary to you and may be viewed by you and/or other users of our Services. In submitting User Content, you hereby agree to comply with the following:
such User Content does not violate any applicable local laws, rules or regulations;
such User Content does not violate or infringe anyone else’s rights or otherwise cause harm to anyone;
such User Content does not consist of or constitute unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or any other form of solicitation;
such User Content does not contain viruses, malicious code or other technology which harm Dory or the interest or property of Dory users;
such User Content is not posted under a false identity, impersonate any other individual or entity, or falsely state or otherwise misrepresent your affiliation with an individual or entity;
such User Content is your original work, and over which you have all necessary rights, title and interest, and you grant Dory and its affiliates;
all individuals/entities appearing in such User Content have granted to you a worldwide, perpetual, sub-licensable and free right to publish, display, translate, copy, revise, edit, disseminate or otherwise use any User Content, in whole or in part, for advertising or publicity/promotional purposes or for any other purpose whatsoever, without any compensation or further notice;
you agree to indemnify and hold harmless Dory from any claims arising from or related to a breach of these warranties and representations;
you waive any and all moral rights that you may have in the User Content, to the fullest extent permitted by law; and
you agree to release and hold harmless Dory from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property-related cause of action that relates in any way to our use of your User Content.
Please report to us about any offensive or inappropriate User Content that you may see on our Services so that we maintain a positive experience for all users. We may, in our sole discretion, limit or terminate our Services, remove hosted content and take any other technical and/or legal steps to ensure that all users of our Services are acting in the spirit of our Terms of Service. Notwithstanding anything in the foregoing, you understand and agree that we do not monitor User Content and that we assume no liability for any User Content whatsoever. You agree that any report you make will not obligate us to take any action (beyond that required by law, if any).
Furthermore, you understand and agree that we are under no obligation to display any of your User Content on our Services, and that we may, at our sole discretion, edit or remove your User Content at any time, without further notice.
You hereby grant to us a limited license to collect and store User Content for the purpose of providing the Services. You further grant us a perpetual, irrevocable, and unlimited licence to use, store, and manipulate User Content to create aggregated and anonymized statistical analytics in respect to platform use and other Services and User parameters and characteristics (“Anonymous Service Data”) in accordance with our Privacy Policy. We shall own all right, title and interest in and to the Anonymous Service Data, including all intellectual property rights in the Anonymous Service Data, and You hereby assign, transfer and convey to Dory any ownership interest You may have in any Anonymous Service Data.
INTELLECTUAL PROPERTY INFRINGEMENT
Dory respects the intellectual property rights of others and we expect the same of our users. If you believe that there has been unauthorised use of your intellectual property rights by a user, please send a written notice of intellectual property infringement to us. In your written notice, please provide the following information:
Identification of the intellectual property claimed to have been infringed;
A statement that you believe that use of the Contents or User Content in the manner complained of is not authorized by the owner, its agent, or the law; and
A statement that the information in the notification is accurate, and under penalty of perjury, that you are the owner or are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Information sufficient to permit us to contact you, such as an address, telephone number, and an email address at which you may be contacted.
Dory reserves the right to suspend or terminate your account and/or your access to the Services if there are repeat complaints against you of intellectual property infringement.
LINKS TO OTHER SITES
We may offer links on our Services to websites and mobile applications owned and operated by third parties ("Linked Sites"). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under Dory’s control, and Dory is not responsible for and does not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You will need to make your own independent judgment regarding your interaction with these Linked Sites.
DORY POINTS
Dory may make available Sparks (a point system hereinafter referred to as “Dory points”) to its users, partners and/or other members of the Dory community. To collect and use Dory points, you must have a valid Dory Account and activate your Dory Wallet in the Application. Dory may, in its sole discretion, distribute Dory points to users from time to time, including, without limitation as a reward for user activity on the platform or as part of any Dory promotion, and may cease or cancel the Dory token distribution at any time.
Dory points have no cash, monetary or other value and cannot be converted into any currency. Dory points may be used to barter with other Dory users and Dory partners. Any transactions made with Dory points are non-refundable.
You may not transfer, sell, exchange, give, charge or otherwise dispose of any Dory points except in accordance with such conditions as we may prescribe from time to time. You are solely responsible for all taxes payable as a result of your collection and use of Dory points.
Your Dory points will remain active if you earn or use it at least once every 12 months.
Dory may suspend or cancel your Dory Wallet if you violate any terms and conditions stated in this document.
NO WARRANTIES
You acknowledge and agree that the Services are provided on an “as is” and “as available” basis, and that your use of or reliance upon the Services and any content, products or services accessed or obtained thereby is at your sole risk and discretion.
Dory does not represent or warrant that: (a) the use of the Services will be secure, timely, uninterrupted or error free or that they will be compatible or operate in combination with any other hardware, software, system or data; (b) the Services will meet your requirements or expectations; (c) errors or defects in the Services will be corrected; or (d) the Services and Dory’s servers are free of viruses or other harmful components.
All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are hereby excluded and disclaimed to the fullest extent permitted under the law.
The Services may be subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications (including problems inherent to the computer or electronic device you use). Dory is not responsible for any delays, delivery failures, damages, or losses resulting from such problems.
No advice or information, whether oral or written, obtained by you from Dory or from the Services shall create any representation, warranty or guarantee. Furthermore, you acknowledge that Dory has no obligation to support or maintain the Services.
Dory disclaims any and all liability or responsibility in relation to the content made available through the Services, including but not limited to the Content uploaded by users or the third party content and services. Dory is not responsible or liable in any manner for the third party content and services associated with or utilized in connection with the Services, including the failure of such third party content and services.
In addition, the Services may promote, advertise or sponsor functions, events, offers, competition or other activities which may be conducted online or offline and which may be conducted by third parties. These activities may be subjected to separate terms and conditions; your participation in such activities is solely at your digression and risk. Dory does not accept any responsibility in connection with your participation in activities conducted by any other party.
LIMITATION OF LIABILITY
You acknowledge and agree that your only right with respect to any problems or dissatisfaction with the Services is to request for termination of your account and/or discontinue any use of the Services.
Except where prohibited by law, in no event will Dory or its affiliates be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if Dory has been advised of the possibility of such damages.
If, notwithstanding the other provisions of these Terms, Dory is found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of the Services or any Content, Dory’s liability shall in no event exceed the greater of (1) the amount of fees received by Dory in respect of the Services giving rise to such claims, or (2) HK$500.00. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
INDEMNITY
You will indemnify and hold harmless Dory, its affiliates, partners, suppliers, licensors, shareholders, predecessors, successors in interest, officers, directors, employees and agents from and against any and all actions, claims, proceedings, damages, losses, costs and expenses resulting from: (a) your use of the Services; (b) your Content; (c) any use of your Account; (d) your breach of these Terms; (e) your breach of any statutory requirement, duty or law; or (f) your violation of any rights of another person or entity.
TERMINATION
If you wish to terminate your account with Dory, you may discontinue using our Services and delete any applications or software that you may have downloaded from us.
MISCELLANEOUS
These Terms constitute the entire agreement between you and Dory with respect to your use of our Services. If any provision of these Terms is held unenforceable, then such provision will be modified to reflect the parties' intention. All remaining provisions of these Terms shall remain in full force and effect.
Notwithstanding any other provisions of these Terms, any provision of these Terms that imposes or contemplates continuing rights or obligations on you or us will survive the expiration or termination of these Terms of Service, including, without limitation, the indemnification and limitation of liability provisions.
Except as provided herein, any failure by Dory to exercise a right or require performance of an obligation in these Terms shall not affect Dory’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach of these Terms constitute a waiver of any subsequent breach.
You shall not assign any rights or delegate any obligations herein without our prior written consent and any attempted assignment or delegation in contravention of this provision shall be null and void and of no force or effect.
APPLICABLE LAW AND DISPUTE RESOLUTION
The effectiveness, interpretation, revisions, implementation and dispute resolution of this Agreement will be subject to the laws of the Hong Kong and any conflicting legal rules or principles of Hong Kong will not be applicable to this Agreement. All disputes, issues or claims arising from this Agreement, including breach of contract and the validity and termination of this Agreement, will be arbitrated in Hong Kong using the effective Hong Kong International Arbitration Centre (“HKIAC”) Administered Arbitration Rules valid at the time of submission of the arbitration notice. There will be one (1) arbitrator, and the arbitration proceedings will be English.
